The Associated Press observed today that, as in the previous "recession" years, the motion picture industry will likely be unaffected by the growing economic downturn.

Citing research by the National Association of Theatre Owners - which showed that, since the 1960s, box-office receipts rose in five of the past seven recession years.

Being published as the annual convention of the National Association of Theater Owners opens in Las Vegas this week, the API article quoted MPAA (Motion Picture Association of America) Chief, Dan Glickman, as saying: "Most people would believe that (sic, 'the movie industry') offers a very good value. It's certainly much cheaper than a psychiatrist. ... To go into a darkened room where nobody can find you for two hours is great therapy, particularly when times are bad."

6 March 2008

"Friends for Life" has garnered an Awards for Excellence tribute from the prestigious Film Advisory Board. Located in Burbank, California, this organization is widely known for promoting family oriented and quality children's entertainment in the international movie industry.

1 March 2008

p;

Having passed through pre-production phases, Grizzly Adams® announced on 28 February that production activities have commenced on "The Ultimate Secret" - the announced title and subject of the First Docudrama planned for the DM-1 Portfolio. (Note: The Second Documentary remains in the pre-production phase. See the 26 December 2007 news item below.)

Of major interest in the "Hollywood" movie industry relative to notable "financing- or production-funding deals," on 28 February 2008, it was reported by numerous media- and business-related news entities* that the New-York-City based Relativity Capital LLC (a recently formed [January 2008] "hedge" fund) and Universal Studios** closed one of the largest "movie-financing" transactions in Hollywood's history.

Specifically, Relativity Capital, apparently, will be financing a slate or portfolio of 45 movies  -  thus, mitigating the "risk of loss" as compared to if "only one" were to be financed. The total funding is estimated at USD 1 Billion (worth an average of roughly USD 22.2 Million each).

Although complete details have not been released by the parties, it appears that  -  as stated by Universal's Executive Vice President, Michael Joe,  "... in one deal, we've covered the bulk of our financing needs over the next three or four years, through a deal with one partner." (Italics and underscore added.) (Note: As one might correctly observe, that [similar to RESOURCE being the primary or fiduciary "partner" with Grizzly Adams® vis-a-vis the DM-1 Private-Placement Project] that one "hedge-fund" partner, ultimately, could well have more than one investor financing the planned slate of 45 films.)

As further commented on in some detail by "Portfolio.com," this new "Relativity-Universal" relationship "... should make for the most conspicuous example of the newer class of investor-friendly financing deals - ...." (italics and underscore added)  -  where, in addition to certain other "control" or "benefit" features associated with the funding relationship, it was mentioned or quoted that the apparently "sole investor" in the new "hedge-fund" is, in fact, another fund  -  itself having a reported 17-year track record of generating "... for its investors a 14.7% net compound annual return ...."  -  thus, implying that the said anticipated returns for the 45-film project might meet or, possibly, exceed that historical record.

Now, comparatively speaking, Grizzly Adams® and RESOURCE's DM-1 "Investor-Friendly" Film-Funding Project is uniquely and significantly different in its structure, namely:

(1)  The investor's principal is guaranteed to be fully returned;

(2)  The investor receives 100% of all "12-film-portfolio" net revenues until the principal has been returned, and thereafter 40% (with Grizzly Adams® and RESOURCE receiving, respectively; 50% and 10%); and,

(3)  As based on Grizzly Adams'® "remarkably-successful" 30+ year track record (during which, as reported by industry observers:  "Investors have never lost principal investments in a Grizzly Adams® production!"), the planned 12-film portfolio's annual internal rates of returns (IRs) are forecast between 20.2% and 36.7%.

Note:  Given actual data through mid 2007 (which will be updated in the near future through the 2007 yearend), performance analyses of five Grizzly Adams'® films are presented in the DM-1 PPM document. Impressively, were these films to have been in the DM-1 portfolio, respective investors would have realized IRRs ranging - through mid last year - from 32.4% to 52.0% pa.

*Among the many reporting sources available on the Internet, other commentary on the "Relativity-Universal" funding matter might be accessed via these links:   Business Wire   The Euroinvestor (UK)   The Hollywood Reporter   The Los Angeles Times   Reuters   Variety

THE ABOVE DISCUSSION AND PRESENTATION OF FEATURES, PERFORMANCE PROJECTIONS, AND/OR HISTORICAL RESULTS RELATIVE TO THE DM-1 PROJECT MAY NOT BE TAKEN AS A GUARANTEE OR STATEMENT OF FUTURE INVESTMENT PERFORMANCE CONCERNING THE PRIVATE PLACEMENT OFFERING. 7 February 2008

Grizzly Adams® announces the Subject and tentative Title of the First Docudrama planned for the DM-1 Portfolio.

Also, on 4 February 2008, regarding the "Friends for Life" feature film, more "advance-screening" reviews submitted by viewers have been been added to those previously referenced below.

11 January 2008

Regarding an"advance-screening" DVD (referenced 8 January 2008), for your convenience, some of the "initial responses" submitted by viewers of this FFL feature film have been uploaded.

10 January 2008

Today, GAP has reported that a final script is expected shortly relative to that new "docudrama," which was funded by RESOURCE on 23 October 2007.

Concerning the title and subject of this First "Docudrama" planned for the DM-1 Portfolio, more information will follow soon. (See 25 October 2007 below for other background details.)

8 January 2008

Following some miscellaneous video edits that were completed during last month, various DVD "screening" (or "pre-market") copies of "Friends for Life" (FFL) have made available in recent days to various distributor and/or marketing professionals in the entertainment industry, as well as, to other interested parties. And, to dated, based on some 30+ responses (expressions of interest or requests to acquire or license) from the former, we expect that the film will soon enter the commercial marketplace in one or more initial venues. More to follow.

26 December 2007

Effective today, RESOURCE has contracted with GAP to fund the production of a second "documentary" or "docudrama" film. Costing USD 400,000, this film will be the third targeted for the DM-1 Portfolio - the other two being the "Friends for Life" (a "feature" film) and the other being the first DM-1 "docudrama." (See the 25 October 2007 news release for other details concerning the latter.)

Regarding this planned new "docudrama" production, more information concerning the title and subject matter will be reported early in the new year.

6 December 2007

Remarkably, having required just under 5 months of "production" time (1 July to 6 December), the "Friends for Life" feature film has been finalized (or, as termed in industry parlance - "locked") and will now be made available to various segments of the entertainment industry.

As the news of this new Grizzly Adams® product - (being a fascinating and highly-desirable"family-friendly" movie) - has spread in the marketplace, an impressive number of various entertainment-industry parties (distributors, agents, studios, movie and TV executives, et. al.) are inquiring about the possibility of obtaining "first-market-rights" to this engaging and entertaining film.

Notes:

Being highlighted in "bold" titling, GAP's latest and most informative or interesting news releases might be accessed via this page.

With Goggle's® "YouTube" Internet site having become an internationally significant "publicity" tool, the "Friends for Live" "preview" will remain viewable via this link - as reported below.

20 November 2007

For your viewing enjoyment, a promotional video clip or "trailer" for the Friends for Life movie has been posted on this Goggle's® "YouTube" Website link. (Note: Shortly, such clip, along with other information will be viewable on GAP's Website. Should you desire such, a DVD containing the same video clip is also available. Contact GAP or RESOURCE.)

From day one (after reviewing initial drafts of the storyline concept and, then, the full script), RESOURCE has agreed with GAP that this movie will be a "marketplace" winner. And, we believe that you, too, will concur after viewing the referenced "promo."

Note: Based on having only received and read the most recent GAP News Release (15 November 2007) concerning this new DM-1 feature film, we understand that an impressive number of media distributors and TV stations, among others, have been contacting GAP principals for more information concerning the availability and release timing of this enjoyable and stunning family movie. Furthermore, RESOURCE believes that when the general media industry, as well as the public, view this Friends for Life "trailer," demand will indeed soar for this remarkable and emotionally touching Grizzly Adams® production.

12 November 2007

On 9 November, RESOURCE had the opportunity to briefly observe some of the final audio editing being completed on Friends for Life. It is a fascinating process to experience - watching the speed with which the technician digitally works with or adjusts a number of separate sound-track volume levels, moves them about, and/or tweaks the various foreground and background audio "over-lays." And, presently, with the "video-" and, now (as of last Friday), with the "audio-editing" phases reportedly complete, the final "technical-editing" phase begins, i.e., where titles, credits, etc. are added to the "front-" and "back-ends" of the movie.

From some of the scenes viewed during this latest and short visit to the editing studio, Friends for Life - in a remarkably short period of time - has made the transition from that rough, initial "director's cut" (first seen on 28 September) to a stunningly rendered and "near-final" product in only about five-weeks time.

Further, RESOURCE was impressed with the "original-music" sound track, which was composed by Merrill B. Jensen, an award-winning, Utah-based composer.* And, again, for him to have also completed the beautiful arrangements in such a short period of time bespeaks of his musical expertise and artistic talents.

Currently, GAP is working on a promotional clip, which will be available on the Internet in the near future. Periodically, check back here for its link and for the latest news concerning the film's entry into the marketplace.

*To date, Mr. Jensen has scored many movies and is especially known for having worked on a number of the entertaining and fascinating films shown in IMAX theaters. Among other film projects, he composed soundtracks for Where the Red Fern Grows, Windwalker, Testaments of One Fold and One Shepherd, and an Oratorio (the latter being written for a college in Idaho).

As announced last month (See the below entry.), the "docudrama" (a new film targeted for the DM-1 portfolio), remains in the pre-production phase. Title and subject matter remain undisclosed. Again, check back for the latest news concerning this movie.

25 October 2007

Effective on 23 October 2007 and with a title and/or the theme of the movie yet to be made public, the second DM-1 film production was funded by RESOURCE. Having unusually "high-test" (market-research) ratings, this "docudrama" film has already entered "pre-production" processes and is planned for completion in early 2008. In the near future, please revisit this page for more information on this film.

Earlier this month concerning the first movie targeted for the DM-1 (12-film) portfolio, Friends for Life, the "director's-cut" video footage (referenced in last month's update) was "final-edited" or "locked," as they say in the industry. Presently, the movie is in the final stages of the "sound-" and "coloration-editing" processes. Further, in the near future, it is expected that a short, promotional video clip will be available on the Internet for your viewing convenience. Periodically, please check back for more details on this full-length feature film.

Note: Concerning these two "currently-in-process" productions, the total funded value is USD 1 Million (roughly EUR 700 K, based on today's FX rate of about USD 1.43 to EUR 1.00). With recent progress being realized and interest being generated among investors both internationally and in North America, the present plans are to have the DM-1 Private-Placement Offering totally funded by the year end.

28 September 2007

In an amazingly short period of time, a "director's cut" of the Friends for Life movie was completed yesterday and viewed by various producers, directors, and other production executives. Although yet being in a rough format and requiring more audio and visual editing work, the presentation of the "director's cut" reflected the fine talents and expertise of all who have been and are yet associated with the film's production and ultimate completion.

During the next few weeks, the editing staff will continue work on the movie that is targeted to be finished in time for the up-coming Holiday Season, which involves important TV viewing and DVD marketing opportunities.

27 August 2007

The final few scenes of Friends for Life were filmed last Saturday - on 25 August.

Following about three weeks of "pre-production" activities (cast auditions, "shoot" location visits and respective selections, crew staffing, etc. - 9 through 31 July 2007) and, then, by "production" or "actual-filming" activities (1 August through 25 August 2007), the first DM-1, full-length feature film now enters the "post-production" phase for various audio and video editing processes. With the latter expected to require four to six weeks, the movie could be ready for the marketplace by late September or mid October 2007.

Thus, in time for the year-end Holiday Season, Friends for Life would be available for the various North American and international media markets (TV / Cable / Satellite or Dish networks, DVD sales, various film distributors, etc.).

Further, during a "production-wrap" gathering that took place for members of the cast and production crews, RESOURCE had the opportunity to view a 20-minute collage of some of the daily "takes," - which, having been quickly assembled, were in a rough, unedited format. Yet, the short video clip depicted well the stunning imagery of the digitally-shot scenes and presented adequately some of the interesting and entertaining themes of the movie.

Based on what was shown in the screening room in the production company's studio, all present were of the opinion that this first (DM-1) feature film will be well received in the marketplace.

In the movie, there are some incredibly rare and fascinating scenes of bear, wolf, and other cast storyline action. One was left to wonder how those world-renowned (Utah-based) handlers were able to train those animals to perform as they did at the various shoot locations. And, further, the digital photography and talents of the production crew were judged remarkable.

In the near future, RESOURCE plans to obtain a few more "jpg" shots of certain action frames and upload them for your viewing enjoyment. However, the digital "stills" will never portray what the "live" audio/video action does.

Periodically, access this "pictures" link to view a few other "shoot-location" scenes that will be shortly uploaded. Also, at some point, a short "trailer" or "promo" video will be viewable via the Internet. Again, occasionally, re-visit this page for more info.

16 August 2007

Yesterday, Grizzly Adams® formally announced the title and storyline for the latest family-friendly (full-length) feature film. For your convenience, the following is a link to GAP's latest, as well as, other recent press releases.

6 August 2007

On 3 August 2007, in the famed Wasatch Mountains of Utah, filming commenced on GAP's latest family-friendly (full-length) feature film. "On-Location-Action" and "Behind-the-Scenes" Shots of Some of the Grizzly Adams® Films targeted for the DM-1 Portfolio have been uploaded for your viewing enjoyment.

If convenient, should you desire to visit any of the respective production or filming locations in Utah, contact GAP or RESOURCE for more information regarding the various planned schedules.

31 July 2007

Filming is scheduled to commence this week on the previously reported first film targeted for the DM-1 Project. Shortly thereafter, some digital pictures of these activities will be uploaded to this WS for your viewing pleasure. Please check back in 4 or 5 days. More information will follow.

20 July 2007

Today, concerning that first "family-friendly" film that is planned for the DM-1 Project (previously reported herein), RESOURCE had the opportunity to visit the respective pre-production office facilities, located in Salt Lake City, Utah, and to meet with the director (a 30+ year veteran in the industry and a resident of southern California), including other "film-production-related" personnel. It was reported that casting auditions are in the final stages and that the "on-site" filming, using digital cameras and other support equipment, will commence early next month. The actual filming is expected to require only three to four weeks. Thereafter, post-production work commences, again, utilizing "state-of-the-art" digital electronics.

Concerning the latter, during today's visit, RESOURCE also had the opportunity to visit one of the available post-production facilities and to see "in-action" some of the latest digital (audio and visual) editing devices that are used in rendering "final-film" products. Observing the speed and accuracy with which such "digital" editing can be made by the technicians, the casual observer might readily understand the definite "cost advantages" that support or enable such "high-quality"and, yet, "low-budget" film endeavors for which Grizzly Adams® is admired throughout the industry.

Given (1) the existing and extensive "movie-industry" infrastructures; (2) the diversified "filming-site" alternatives; (3) the extraordinary "workforce" options; and, (3) the state or municipality "movie-production" incentives that are available, this GAP production will be shot or filmed entirely in Utah.

Interestingly, today, in one of Utah's local newspapers, it was pointed out that the State's diversified filming sites or "shoot-location" alternatives are sought and/or favored by many movie producers and studios. Further, in the article, it was mentioned that 23 "feature" films had some or all of their filming origins in Utah during fiscal 2007 (1 July 2006 through 30 June 2007).

Note: As previously mentioned to RESOURCE by various third-party industry insiders, reportedly, Chuck Sellier was one of the major "early-on" driving forces that put Utah on the "movie-making map" - which largely occurred when the famed "The Life and Times of Grizzly Adams" television series (based on a book which Chuck authored) were all shot on location in Utah's renowned Rocky Mountains. (This TV series was highly successful and ran for some ten years on the NBC TV network.)

For more information on GAP and Chuck (President and CEO of Grizzly Adams®), including a number of other members of GAP's team, see Exhibits 2 and 3 in the DM-1 Offering document.

DM-1 investors or prospective subscribers, who wish to visit the referenced Utah production facilities or to witness actual filming activities, please contact GAP or RESOURCE to discuss the possibilities and/or make personal arrangements.

19 July 2007

Production work continues on the first "family-friendly" full-length feature film that will be a part of the DM-1 portfolio. (See last week's news release.) It is expected that, in the near future, more concerning the details of this film might be reported here.

Additionally, in recent days, a second consulting agreement has been signed with another experienced media firm. Having both international and North American contacts, this company believes that a number its contacts and/or clients should be made aware of Grizzly Adams® and the Company's current and future movie production plans.

Again, periodically, revisit this page for the latest developments. Or, for more information contact GAP or RESOURCE.

11 July 2007

Relative to the planned DM-1 portfolio of 12 digital films, on 9 July, Grizzly Adams® commenced production of the first "family-friendly" full-length feature film.* GAP has reported that the director and his crew are assembling on location to begin the "shooting" or filming process - which will utilize the latest "state-of-the-art" digital technology and equipment.

*For confidentiality reasons, the title and subject material of this new digital movie will not be presented here.

Further, GAP announced late last week that the second feature film planned for the DM-1 portfolio is under final review - yet, still being in a preliminary draft format. More to follow.

Periodically, revisit this page for the latest developments. Or, for more information contact GAP or RESOURCE.

5 July 2007

Last week in the famed Adlershof* area of Berlin (Germany), RESOURCE presented the planned DM-1 Project at the 2007 European Venture Market forum. Some of the European-based attendees expressed interest in the Offering. Further discussions are pending.

*A number of movie studios are located in this quarter of Berlin, which city is world-famous for its movie industry - both past and present.

NOTE: Respective versions (either standard Internet ["html" coded files] or Microsoft®"PowerPoint" ["ppt" coded files] of a short slide show might be viewed here: Slide-Show Presentations. (Note: In the"ppt" coded files, a Grizzly Adams® DVD segment is not included, due to its 36-MB size, and, thus, will not appear or play when reaching the black, rectangular-boxed area of one slide. Simply click past this box to finish the presentation.)

Further, late last month, a consulting agreement for the DM-1 Offering was signed with an Eastern U.S. "media-investment" firm. This firm believes that a number of known parties might be referred to investigate the investment opportunity.

Also, for your convenience, two recent informative news releases from GAP might be viewed here: 3 July 2007 and 14 June 2007.

12 June 2007

Three addenda have been added to the International and the North American PPMs. Impacting investment-performance projections, they address certain enhancements rendered to the planned Offering.

Qualifying accredited or sophisticated prospective investors continue to inquire concerning the DM-1 Project. Further, during the last week of this month in Europe, as invited, RESOURCE will be presenting this unique opportunity to an International Investment Forum. Some 150 to 200 institutional and other discerning investors are anticipated to be present.

21 May 2007

GAP has announced that the production of the first DM-1 feature film is planned to commence in August 2007. Further, TV networks and other distribution venues continue to inquire as to production plans for this film, as well as, concerning other pending GAP/DM-1 products.

The expanding demand for "family-friendly" movies continues to be reported in various news publications. On 12 May 2007, during the Character And Morality In Entertainment (CAMIE) Awards, some 500 people gathered in Hollywood to honor filmmakers who produce uplifting movies. For your convenience two links noting the event are a moviepicks® release and a Utah newspaper article.

Further, as having taken place in Warsaw, Poland, The Fourth World Conference on Families has been in the news of late. For your interest, just two of the many (national and international) reports concerning such are a Catholic World News publication and another Utah newspaper article.

11 May 2007

Yesterday, GAP advised RESOURCE that, in mid June, pre-production work will commence for the first feature film which has been targeted for inclusion in the DM-1 project. It is expected that more on this "high-testing" digital movie theme might be announced later this month or early in June. (Note: As earlier referenced pertaining to the twelve films planned for the DM-1 portfolio, the content or story lines, including the respective titles, have been preliminary determined. However, at this time, being proprietary or confidential in nature, such detail will not be presented here.)

Further commenting on the marketplace, GAP mentioned that a number of the major TV networks continue to inquire (and again most recently) of the company concerning the availability of new "family-friendly" productions. In these conversations about various film subjects or story lines that are planned by GAP, these network executives requested that, as soon as possible, the respective films be produced and made available to address the continuing strong market demand for such product.

Currently, relative to the DM-1 Offering, both in Europe and in North America, a number of prospective subscribers are reviewing respective PPM documents. Early indications or estimates are that, by the end of May or early in June (from a number of additional subscribers who have been preliminary contacted and who are presently reviewing this "significantly-unique" project), a total of USD 600 K to USD 1 Million might have been received.

28 April 2007

In recent days, GAP has advised RESOURCE that there are now fourteen films that are either awaiting production or are in various stages of preparation or finalization.

From both international and North American areas, a number of new inquiries from prospective and qualified investors regarding this unique project have been received. During the coming days and weeks, various preliminary discussions have either taken place and/or additional formal meetings and presentations are now planned.

20 April 2007

Latest developments include the following significant items:

1. RESOURCE has been informed that, as of late this week or early next, the first "international-investor" funds have been or will be forwarded to the Company.

2. In view of the expressed interest in this "significantly-unique" media-industry Offering project and the subsequently scheduled meetings in April and May with various North American investors, it is expected that additional funds will be invested in the DM-1 project during the next few weeks. As projected, these funds - as they accrue in the escrow account - will ultimately facilitate the commencement of the filming of two or more "high-testing" (via GAP's "proven" market-research methodologies) FF's and DF's. Three of these "market-tested" film types are presently being reserved for the DM-1portfolio.

3. Today, GAP stated to RESOURCE that a total of twelve shows or films, presently, either are finalized and await production or are in the final stages of development. Further, relative to the DM-1 Offering, as conceived and structured, GAP anticipates a long-term and successful working relationship with the Company.

10 April 2007

Last week, as had been earlier planned, a "North American" version of the DM-1 Offering document was completed.

Beginning this week, in coordination with GAP, RESOURCE and its authorized associates will be contacting and presenting the "diversified-portfolio" (DM-1 Offering) concept to various U.S. and Canadian investors who have previously invested in GAP's media productions. Also, presentations will be given to a number of other parties who previously have expressed a desire to mitigate risks by having an option to participate (partially or totally) in the funding of a "diversified" portfolio of both feature and documentary films.

The availability of the latter "portfolio" alternative - coupled with the "return-of-principal-investment" guarantee - is deemed to be significantly unique in the entertainment marketplace.

Concerning the DM-1 project, the immediate objective is to timely acquire USD 1.3 M (about EUR 1 M) so that planned film-production projects might commence.

26 March 2007

In a meeting today in Salt Lake City with GAP principals, it was discussed that the next two films to be produced are a touching FF and a fascinating DF. Having "tested high" in market research, both are expected to perform well in the commercial marketplace.

DM-1 Offering documents have been finalized and RESOURCE is completing plans to print and distributed such to qualified prospective investors - in Canada, Germany, and the U.S.

17 March 2007

GAP has advised RESOURCE that it is currently in the process of reviewing six (6) more film subjects (DF and FF topics) and shortly will be completing initial market research on scripting and titling.

15 March 2007

1. Preparing to launch the DM-1 Offering, RESOURCE has received the formal "Corporate Guarantee for Return of Principal Investment" (the original / signed) agreement from GAP. This"principal-return-guarantee" document is now formally attached to the PPM as Exhibit 1.

2. Concerning recent discussions, GAP has indicated that it is reserving four DF's. and three FF's for the DM-1 Offering. Having received "high-test" ratings of the subject material or scripts (utilizing GAP's unique and proprietary market-research system), the seven films are forecast to do well in their respective marketplaces or distribution venues.

Note: To complete the planned "twelve-film" diversified portfolio, four more DFs and one more FF are presently under consideration or pending finalization. Continue to check back for more information on these five films as they become available.

3. With reference to the Item 4 of the 26 February 2007 Update below (concerning possible tax-write-off benefits for U.S.- and/or Internationally-domiciled, tax-paying investors), Exhibit 6 has been added to the DM-1 PPM. Based on the assumptions and projections outlined therein, the conservative, moderate, and superior scenarios could reflect IRRs of 34.6%, 40.7%, and 52.4% per annum, respectively. Regarding such, carefully read the important disclosures contained in the respective PPMs.

3 March 2007

1. In association with another U.S. investor, GAP has commenced the production of a documentary film concerning the latest Noah's Ark findings. As announced, it's title is "Noah's Ark - Has It Been Found?"

2. With the growing "bones" controversy (as reported by many national and international news organizations) over James Cameron's forthcoming documentary concerning the reputed find of Jesus' burial place in Jerusalem, GAP's "Shroud of Turin" documentary is expected to perform exceptionally well in the national and international marketplace. Note: This documentary (entitled "Fabric of Time: Are the Secrets of the Universe Hidden in an Ancient Cloth") was announced in mid January 2007.

3. Other documentary and feature films remain available for the planned, diversified portfolio outlined for the DM-1 project.

26 February 2007

1. The preliminary DM-1 Offering documents are being reviewed by various prospective investors, advisors, and other parties within the U.S. and internationally.

2. GAP has completed the market research (subject matter and titling) for eight DFs and three FFs and is ready with scripts. Production is pending the completion of funding arrangements with investors, including those subscribing to the DM-1 Offering. Concerning the planned twelve-film DM-1 portfolio, other FF and DF story concepts are currently being researched and are expected to be made available in the near future.

3. In view of requests for such, RESOURCE is reviewing the possible completion of a "North-American" PPM, that is, a DM-2 Offering and/or allowing U.S. investors to acquire investment share interests in the DM-1 Offering. Completion of a U.S. version will be dependent on the present expressed interest in the "International" DM-1 Offering and on discussions with principals of GAP.

4. Yet to be considered for addition to the DM-2 and/or the DM-1 Offering document is an overview of certain or possible U.S. tax-shelter benefits that pertain to audio-visual productions, which benefits might be of interest to certain U.S.-domiciled as well as Internationally-domiciled investors. Should a "tax-advantage" analysis be added and the "investment-performance" sections expanded in the PPM, along with requisite financial and legal reviews, it is expected that this will require two weeks or more to complete.

Note: Since the enactment of the "Jobs Creation Act of 2004" (Tax Act) (Section 181 of the U.S. Internal Revenue Service [IRS] code), investors have taken advantage of a granted "100%" tax write-off of certain amounts invested to produce audio-visual works. In other words, through 2009, movie production, reportedly, has become a sanctioned "tax shelter" by the U.S. federal government. (Some states also allow tax credits for similar investments or might directly tender specific cash payments to off-set certain costs of media productions filmed within their borders.)

Specifically, given a film production and one or more investors therein, this federally enacted "tax-reduction" benefit allows up to a maximum of USD 15 M (up to USD 20 M in certain unique cases) that may be totally written off against certain types of earned income. And, under this code, the allowance applies to both individuals and other tax-entity types.

Thus, assuming an investor with a federal tax-bracket of, say, 35%, a USD 1 M investment in a movie could possibly save him/her/it USD 350 K in taxes. Or, in other words, under provisions of this Tax Act, the U.S. IRS system (or Government) credits (gives) the investor USD 350 K "tax free" for helping to "create jobs" in the U.S. domestic movie industry.

The above is only a very brief review of Section 181 and is not a complete analysis nor is such meant in any way to be tax advice. Further, it must be emphasized here that since each prospective and qualified investor has unique tax situations, which are often quite complex and require careful analyses, professional tax counsel should be sought concerning any possible application or non-application of the referenced Tax Act. Furthermore, regarding this subject as it might relate to the DM-1 Offering, read the important disclosure statements and other information contained in the PPM.
